Terms of Service

Welcome to Dashline! These Terms of Service ("Terms") govern your access to and use of Dashline’s website, products, software, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Definitions

  • “Services” refer to all products, software, and services provided by Dashline through its website and platforms.
  • “User,” “you,” or “your” refers to any individual or entity accessing or using the Services.
  • “Deliverables” refer to any products, digital content, or software made available through the Services.

2. Scope of Services

Dashline provides software development services, products, and related support, as described on our website or via specific agreements for custom work. Specific features and services may be subject to additional terms and conditions.

3. User Responsibilities

By using our Services, you agree to:

  • Provide accurate and complete information when registering for an account.
  • Maintain the security of your account and promptly notify us of any unauthorized use.
  • Cooperate with us by providing necessary information and feedback when required.
  • Obtain all necessary third-party permissions and licenses if your use of our Services requires them.

4. Fees and Payments

  • Some Services may require payment, either as a one-time fee, recurring subscription, or hourly rate, as described on our website or in your agreement with us.
  • Payments are due as specified at the time of purchase. All fees are listed in U.S. dollars unless otherwise noted.
  • You are responsible for any applicable taxes or additional charges.
  • If payment is based on a custom project or deliverable, acceptance testing may apply (see Section 5).

5. Acceptance Testing (For Custom Projects)

  • If applicable, you will have a specified period to test and review any custom deliverables we provide.
  • If you do not notify us of any issues within seven (7) days of delivery (or another period stated in the agreement), the deliverable will be deemed accepted.
  • If issues are identified, Dashline will work to resolve them within ten (10) business days or as otherwise agreed.

6. Maintenance and Support

We may offer optional maintenance and support services for our deliverables. Details and applicable fees for such services will be specified at the time of engagement.

7. Intellectual Property

  • Dashline retains ownership of all intellectual property rights in any software, code, and materials we develop or provide, unless otherwise stated in a written agreement.
  • We grant you a non-exclusive, non-transferable license to use our deliverables for your internal business purposes.
  • You may not modify, reverse engineer, distribute, or resell our deliverables without our prior written consent.

8. Confidentiality

Both you and Dashline agree to keep each other’s confidential information private and secure. This includes business, technical, and financial information not generally known to the public. Confidentiality obligations do not apply to information that:

  • Becomes publicly available through no fault of the receiving party.
  • Was lawfully obtained from a third party.
  • Is independently developed without reference to confidential information.

9. Non-Solicitation and Non-Disparagement

You agree not to solicit, hire, or attempt to hire Dashline employees or contractors during your engagement with Dashline and for two years after termination of services. You also agree not to make any disparaging statements about Dashline.

10. Indemnification

You agree to indemnify and hold Dashline harmless against any third-party claims arising from:

  • Your violation of these Terms.
  • Any materials you provide that infringe third-party rights.

Dashline will indemnify you against third-party claims that Dashline’s deliverables infringe on third-party intellectual property rights, provided you notify us promptly and allow us to manage the defense.

11. Limitations of Liability

  • Dashline is not liable for indirect, incidental, or consequential damages, including lost profits or data.
  • Dashline’s total liability under these Terms is limited to the amount you paid for the Services in the twelve (12) months prior to the event giving rise to the liability.
  • Neither party is responsible for delays caused by Force Majeure events (natural disasters, war, etc.).

12. Termination

  • Either party may terminate these Terms at any time by providing thirty (30) days' written notice.
  • We reserve the right to suspend or terminate your access to the Services immediately if you violate these Terms.
  • Upon termination, you must cease all use of our Services and deliverables unless otherwise agreed in writing.

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.
  • Any disputes arising out of these Terms will be subject to the exclusive jurisdiction of the courts in New York.

14. Miscellaneous

  • These Terms represent the entire agreement between you and Dashline concerning the Services and supersede any prior agreements.
  • Any modifications to these Terms must be in writing and signed by both parties.
  • If any part of these Terms is found to be unenforceable, the remaining sections will remain in full effect.
